Terms of Service

1. The Service
Cutovr (the “Service”) is a tool that helps move law-firm financial data from legacy legal accounting and case-management systems into Clio Accounting. If you choose QuickBooks Online as the destination, the Service can also convert supported legacy-system exports and post journal entries to a QuickBooks Online company you control after you complete Intuit's OAuth 2.0 flow.
2. Not legal or accounting advice
The Service is software. It does not provide legal, tax, or accounting advice. Its output is a prepared migration package or, for QuickBooks Online migrations, a candidate set of journal entries derived from the files you upload; you are responsible for reviewing and approving every import before relying on it. If a record would be wrong in the destination system if you entered it manually, it will be wrong here too.
3. “As is” service
The Service is provided as is, without warranty of any kind. We recommend reviewing the prepared migration package, account mappings, balances, and destination setup before running a live migration.
4. Reversals and corrections
For QuickBooks Online migrations, the Service supports posting offsetting JournalEntry records to QuickBooks (a “reversal”). A reversal does not delete the original entries; it adds new entries that net the originals to zero. Both sides remain visible in QuickBooks for audit. For Clio Accounting migrations, corrections are handled through the reviewed migration package and the destination workflow. You are responsible for confirming that any reversal or correction completed as expected.
5. Acceptable use
You will not (a) upload ledgers or reports you are not authorized to handle, (b) use the Service to import to a destination account you are not authorized to modify, (c) attempt to break out of your firm workspace, scrape other firms' data, or attack the underlying infrastructure, or (d) use the Service to commit fraud or violate law.
6. Your data
Your uploaded files and QuickBooks tokens where used are handled per the Privacy Policy. You retain ownership of your data. You can delete any job at any time.
7. Limitation of liability
To the maximum extent permitted by law, the Service and its operator are not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost revenue, or lost data arising out of your use of the Service. Direct damages are limited to the fees you have paid for the Service in the prior 12 months.
8. Changes
We may update these terms; we will note the effective date above and, for material changes, surface a notice in-app the next time you sign in.
